SBI Card Announces Postal Ballot for Appointment of Two Independent Directors
New Delhi: SBI Cards and Payment Services Limited has announced the initiation of a postal ballot process to seek approval of its shareholders for the appointment of two Independent Directors to its Board, as per disclosures made to stock exchanges on Tuesday.
The postal ballot proposes the appointment of Smt. Anuradha Rao (DIN: 07597195) and Smt. Parvathy Vairava Sundaram (DIN: 07005574) as Independent Directors of the company through special resolutions.
According to the company, the remote e-voting process will commence on January 8, 2026 at 10:00 AM (IST) and conclude on February 6, 2026 at 5:00 PM (IST). Shareholders whose names appear on the register of members as of January 2, 2026 will be eligible to participate in the voting process.
The company has appointed National Securities Depository Limited (NSDL) to facilitate the electronic voting mechanism. Results of the postal ballot will be declared within two working days from the conclusion of the voting process and will be published on the company’s website as well as on the websites of BSE, NSE and NSDL.
About the Proposed Appointees
Smt. Anuradha Rao, former Deputy Managing Director of State Bank of India and former MD & CEO of SBI Funds Management, brings nearly four decades of banking and financial services experience. Her proposed term as Independent Director is from November 13, 2025 to November 12, 2028.
Smt. Parvathy Vairava Sundaram, former Executive Director of the Reserve Bank of India, has extensive experience in central banking regulation and supervision. Her proposed term is from December 9, 2025 to December 8, 2028.
The Board of Directors has recommended both appointments, stating that the candidates possess the required expertise, governance capabilities and industry knowledge to strengthen the company’s leadership and oversight framework.
