JSW Energy Postal Ballot: Re-appoints Munesh Khanna

Mumbai, 23 February 2026: JSW Energy Limited has issued a Postal Ballot Notice seeking approval from its shareholders for the re-appointment of Mr. Munesh Khanna as an Independent Director of the company. The Postal Ballot process is being conducted entirely through electronic voting (remote e-voting) in compliance with the Companies Act, 2013 and SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.

Mr. Khanna’s current term as an Independent Director will conclude on 25 March 2026. The Board of Directors, on the recommendation of the Compensation and Nomination & Remuneration Committee, has proposed his re-appointment for a second term of five consecutive years, effective from 26 March 2026 to 25 March 2031, not liable to retire by rotation.

The remote e-voting period will begin at 9:00 a.m. IST on 24 February 2026 and end at 5:00 p.m. IST on 25 March 2026. The results will be declared within two working days of the conclusion of e-voting and communicated to stock exchanges. • Qualification: Chartered Accountant (CA), Bachelor of Commerce

• Experience: Over 31 years in corporate advisory and investment banking, former Country Head of NM Rothschild & Sons, founder of Backbay Advisors LLP.
