Tata Communications Dissolves Indirect Subsidiary as Part of Corporate Restructuring
Mumbai, February 27, 2026: Tata Communications Limited (BSE: 500483, NSE: TATACOMM) has officially dissolved one of its wholly-owned indirect subsidiaries as part of an internal corporate restructuring initiative.
The subsidiary, which had contributed ₹766.70 crore in turnover (3.32% of total revenue) and a net worth of ₹790.15 crore (12.87%) in FY25, was formally dissolved effective February 16, 2026.
No sale consideration was received as part of this restructuring, and all existing business contracts and agreements previously held by the entity, BUC Mobile Inc., have been seamlessly transferred to Kaleyra US Inc., another indirect subsidiary of Tata Communications, through an Asset Transfer Agreement effective February 1, 2025.
The company has clarified that the dissolution does not involve any related party transactions or external buyers and is part of streamlining internal operations to enhance operational efficiency and strategic focus.
Zubin Adil Patel, Company Secretary and Compliance Officer of Tata Communications, confirmed that this corporate action aligns with the company's broader strategy of consolidating operations while ensuring continuity for existing clients and contractual obligations.
The disclosure has been made under Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, and is also available on the company’s investor relations website.
