Mumbai, 9th January 2026The Tata Power Company Limited has officially completed the acquisition of a 100% equity stake in Jejuri Hinjewadi Power Transmission Limited (JHPTL), a Special Purpose Vehicle (SPV) established for the Intra-State Transmission Project in Maharashtra. The acquisition was formalized through the signing of a Share Purchase Agreement (SPA), as disclosed under Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.

JHPTL, incorporated on 28th March 2025, is a project-specific SPV set up on a Build-Own-Operate-Transfer (BOOT) basis to provide transmission services. The project involves the construction of approximately 115 km of 400 kV double-circuit line between Jejuri and Hinjewadi, along with extension of 400 kV GIS line bays at substations at both locations. The SPV is expected to achieve commercial operations within 24 months from the date of acquisition.

The acquisition, valued at ₹2.42 crore, was completed with cash consideration and does not involve any related party transactions. Approval for the share transfer was obtained from the Ministry of Power, ensuring full regulatory compliance.

Vispi S. Patel, Company Secretary of Tata Power, confirmed the completion of the acquisition, marking a key step in the company’s strategy to expand its presence in the power transmission sector.

The acquisition reinforces Tata Power’s commitment to strengthening India’s power infrastructure and supporting sustainable energy growth in Maharashtra.
