RITES Limited Announces Trading Window Closure for Q3 FY26 Financial Results

New Delhi: Engineering consultancy and infrastructure PSU RITES Limited has announced the closure of its trading window for dealing in the company’s equity shares, in line with insider trading regulations prescribed by the Securities and Exchange Board of India (SEBI).

As per a circular issued by the company on 23 December 2025, the trading window will remain closed from 1 January 2026 and will reopen 48 hours after the declaration of the unaudited financial results for the quarter ended 31 December 2025.

The decision follows SEBI-mandated requirements under the Code of Internal Procedures and Conduct for Prohibition of Insider Trading, which stipulate that trading restrictions must apply from the end of every quarter until financial results are publicly announced and absorbed by the market.

During the closure period, designated employees, connected persons, and their immediate relatives are prohibited from buying, selling, or otherwise dealing in RITES shares. The company clarified that the trading window will reopen only after two full days have elapsed following the public disclosure of the quarterly results.

RITES has also directed all departmental heads, vertical leaders, and regional heads to ensure that the information is properly communicated to insiders who may have access to unpublished price sensitive information (UPSI) for legitimate business purposes. Such insiders are required to maintain strict confidentiality of the information.

The company warned that non-compliance with the trading window restrictions could attract monetary penalties and regulatory action, both internally and from statutory authorities.
