Mumbai, February 5, 2026: Indian Bank held an Extraordinary General Meeting (EGM) of shareholders on 9th January 2026 via video conferencing/other audio-visual means. The meeting was chaired by Shri Binod Kumar, Managing Director & CEO, in the presence of the Board of Directors and 36 shareholders, including the Government of India’s authorized representative.
During the EGM, shareholders were informed about the election of Shri Bhupinder Singh Bhalla as Shareholder Director. Shri Bhalla, the sole candidate for the position, was deemed elected on 31st December 2025 after being declared “Fit & Proper” by the Nomination and Remuneration Committee of the Board. He will hold office until 8th March 2027, completing the unexpired term of his predecessor.
The primary agenda of the EGM was the approval of the appointment of Ms. Mini T M as Executive Director of Indian Bank. Ms. Mini, formerly Chief General Manager at Bank of Baroda, was appointed by the Government of India for a three-year term, effective 24th November 2025. The appointment required shareholder approval under Regulation 17 (1C) of SEBI (LODR) Regulations, 2015, which was obtained through remote e-voting and e-voting during the EGM.
The consolidated voting results showed strong shareholder support:

Assent: 95.69%

Dissent: 4.31%
Consequently, the appointment of Ms. Mini T M as Executive Director was officially approved for a term of three years, or until further orders from the Government of India.
Shri Binod Kumar concluded the meeting by extending New Year greetings to all shareholders and thanking them for their participation.
