GAIL Becomes Sole Owner of Konkan LNG After NCLT-Approved Share Capital Reduction
New Delhi, July 10: GAIL (India) Ltd has become the 100% owner of Konkan LNG Ltd (KLL) following the implementation of a share capital reduction scheme approved by the National Company Law Tribunal (NCLT).
In a regulatory filing on Friday, GAIL said the scheme was implemented after the NCLT's order dated June 3, 2026. The consideration payable under the scheme was remitted to GAIL on July 6, 2026. Konkan LNG also confirmed that the payment was made to MSEB Holding Company Ltd (MSEB) on the same day.
Following the completion of the transaction, 14,81,10,440 equity shares of ₹10 each held by the two shareholders were cancelled and extinguished.

As a result, MSEB's shareholding in Konkan LNG has been reduced to zero, while GAIL now holds 100% of the company's equity share capital, making Konkan LNG its wholly owned subsidiary.
The company said the disclosure has been made in compliance with Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.
Konkan LNG operates LNG infrastructure on India's western coast and plays a role in strengthening the country's natural gas supply network. With complete ownership, GAIL is expected to have greater operational and strategic control over the company.
