New Delhi, July 8, 2026: Indraprastha Gas Limited (IGL) has initiated a postal ballot process to seek shareholder approval for the appointment of Kumar Shanker as Director and Managing Director of the company.

The proposal follows the Board's decision to appoint Kumar Shanker as an Additional Director and Managing Director with effect from June 5, 2026. Subject to shareholder approval, his tenure as Managing Director will continue until June 4, 2029, or until further orders from GAIL (India) Limited, whichever is earlier.

The postal ballot is being conducted through remote electronic voting in accordance with the Companies Act, 2013, SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, and applicable circulars issued by the Ministry of Corporate Affairs.

The remote e-voting window will open on July 22, 2026, at 9:00 AM IST and close on August 20, 2026, at 5:30 PM IST. Shareholders whose names appear in the register of members as of the record date of July 3, 2026 will be eligible to participate in the voting process. The results are expected to be announced on or before August 24, 2026.

Kumar Shanker, a Chemical Engineering graduate from BITS Pilani, brings more than 30 years of experience in the natural gas industry. His expertise spans gas processing operations, petrochemical project management, corporate strategy, regulatory affairs, marketing and the city gas distribution (CGD) sector. He currently also serves as a Director on the board of Maharashtra Natural Gas Limited (MNGL).

As Managing Director, Kumar Shanker will oversee the overall management and operations of IGL. His remuneration and service conditions will continue to be governed by GAIL (India) Limited, with the associated costs reimbursed by IGL.

The company has appointed M/s Agarwal S. & Associates, Company Secretaries, as the scrutinizer for conducting the postal ballot and remote e-voting process. The postal ballot notice has been sent electronically to eligible shareholders and is available on the company's website as well as the websites of the stock exchanges and NSDL.
