NTPC Likely to Take Full Promoter Control of PTC India, Board Restructuring Planned

New Delhi: PTC India Limited has informed stock exchanges that its Board of Directors has taken note of a key policy communication from the Ministry of Power, Government of India, proposing a major change in the company’s promoter structure and governance framework.

In an official disclosure dated January 23, 2026, PTC India said that the Ministry of Power has proposed that NTPC Limited may become the sole promoter of the company. As part of this proposed restructuring, the existing promoters—Power Finance Corporation (PFC), Power Grid Corporation of India (POWERGRID), and NHPC Limited—will withdraw their nominee directors from the Board of PTC India and relinquish their promoter rights as provided under the company’s Articles of Association.

The proposal also includes a restructuring of the company’s top leadership. The current Chairman and Managing Director (CMD) position will be split into two roles: a Non-Executive Chairman and an Executive Managing Director. Under the proposed arrangement, the CMD of NTPC will serve as the Non-Executive Chairman of PTC India, while the existing CMD of PTC India will be redesignated as the Managing Director.

Further, once the nominee directors of PFC, POWERGRID, and NHPC withdraw and management control is transferred to NTPC, the Ministry of Power may also withdraw its nominee director from the Board of PTC India. This change will require suitable amendments to the Articles of Association of the company. Following the amendment, PFC, POWERGRID, and NHPC will seek reclassification as non-promoters in line with SEBI Listing Regulations.

The Executive Director (Commercial & Business Development) of NTPC has been designated as the nodal officer for coordinating and implementing the proposed changes.

PTC India clarified that these developments are based on the Office Memorandum received from the Ministry of Power and that further updates will be shared as the process progresses. The Board meeting during which this matter was noted commenced at 3:00 PM and concluded at 4:30 PM on January 23, 2026.
