PFC 40th AGM: Shareholders Discuss REC Merger, Dividend and Future Strategy
Power Finance Corporation (PFC) held its 40th Annual General Meeting (AGM) on August 31, 2026, where shareholders discussed the company's financial performance, dividend, proposed PFC-REC merger, borrowing strategy and future growth plans.
The AGM was conducted through video conferencing from 11:00 AM to 12:25 PM. A total of 159 shareholders holding 1,84,78,93,469 shares participated in the meeting.
PFC Highlights REC Merger and Energy Transition
Addressing shareholders, PFC Chairman and Managing Director Parminder Chopra highlighted the company's financial and operational performance for FY2025-26.
She also discussed PFC's role in financing India's energy transition, including initiatives in renewable energy, distribution reforms and sustainable finance.
The proposed merger of PFC and REC was also highlighted, with the company noting its strategic significance. The Chairman further outlined PFC's priorities for its fifth decade and its role in supporting India's Viksit Bharat 2047 vision.
Dividend and Key Resolutions
The AGM agenda included approval of the audited standalone and consolidated financial statements for FY2025-26 and confirmation of the interim dividend along with declaration of the final dividend for the financial year.
Shareholders were also asked to approve the reappointment of Shashank Misra, who retired by rotation and offered himself for reappointment.
Other resolutions included the appointments of Rajesh Kumar Agarwal as Director (Finance), V. Packirisamy as Director (Commercial) and Pankaj Gupta as Part-Time Non-official Director (Independent Director).
A proposal to enhance the company's borrowing limit under Section 180(1)(c) of the Companies Act, 2013, along with modification under Section 180(1)(a), was also placed before shareholders.
Shareholders Raise Questions on PFC's Future
During the shareholder interaction, investors raised questions relating to the PFC-REC merger, future roadmap, ESG rating, borrowing strategy and the company's future operations.
The queries were addressed by the Chairman and Managing Director.
The AGM concluded at 12:25 PM on August 31, 2026.
