Compliance and Regulatory Context
The Postal Ballot is being conducted in compliance with Section 110 of the Companies Act, 2013, Regulation 44 of SEBI LODR, and various circulars issued by the Ministry of Corporate Affairs. Regulation 17(1C) of SEBI LODR mandates that shareholder approval for director appointments must be obtained at the next general meeting or within three months of appointment, whichever is earlier.
Both appointees are liable to retire by rotation and will not receive any remuneration from the company for their roles as directors. The resolutions will be passed as Ordinary Resolutions.
Voting Process
The company has engaged National Securities Depository Limited (NSDL) to provide remote e-voting facilities. Shareholders whose names appear in the Register of Members/List of Beneficial Owners as on the cut-off date (February 27, 2026) are eligible to vote.
