National Fertilizers Issues Notice on IEPF Share Transfer & Special Re-lodgement Window

National Fertilizers Limited (NFL), a Navratna Company, has informed the stock exchanges (NSE and BSE) about the publication of a newspaper notice regarding two crucial matters for its shareholders: the Special Window for Re-lodgement of Transfer Requests of Physical Shares and the impending Transfer of Equity Shares and Unclaimed Dividend to the IEPF. The notice was published on December 08, 2025.

A. Transfer to Investor Education and Protection Fund (IEPF)

This section provides a mandatory notice regarding the transfer of shares and unclaimed dividends to the IEPF Authority, as per Section 124(6) of the Companies Act, 2013, and the relevant Rules.

  • Trigger for Transfer: Shares for which the dividend has remained unpaid or unclaimed for seven consecutive years or more are liable to be transferred to the Demat account of the IEPF Authority.

  • Impending Transfer Date: The Interim Dividend declared for the financial year 2018-19, which has remained unclaimed, will be credited to the IEPF on or after March 08, 2026, but not later than April 07, 2026. The corresponding shares will also be transferred during this period.

  • Action Deadline: Shareholders must submit a valid claim on or before February 28, 2026. If no claim is received by this date, the Company will proceed with the transfer without further notice.

  • Procedure for Physical Shares: Original physical share certificate(s) will be automatically cancelled, and duplicate share certificate(s) will be issued and transferred to IEPF.

  • Reclaiming Funds/Shares: Concerned shareholders can claim the shares and dividend from the IEPF Authority by submitting the prescribed Form IEPF-5 online and sending physical copies of requisite documents to the Company Secretary.

 

B. Special Window for Re-lodgement of Physical Share Transfer Requests

Pursuant to SEBI Circular No. SEBI/HO/MIRSD/MIRSD-PoD/P/CIR/2025/97 dated July 02, 2025, NFL has opened a special window for the re-lodgement of physical share transfer deeds.

  • Window Period: The special window is open for a period of six months, from July 07, 2025, to January 06, 2026.

  • Applicability: This facility applies to transfer requests that were originally submitted prior to April 01, 2019, but were rejected, returned, or not processed due to documentation or procedural issues.

  • Extended Eligibility: The window also extends to shareholders who were eligible but missed the earlier re-lodgement deadline of March 31, 2021.

  • Mandatory Dematerialization: All re-lodged transfer requests will be processed strictly in dematerialized form.

  • Submission Details: Shareholders are advised to re-submit their requests and requisite documents to the Company's Registrar and Share Transfer Agent, MAS Services Limited (New Delhi address and contact details provided).
