Mumbai: State-owned defence shipbuilder Mazagon Dock Shipbuilders Limited (MDL) has successfully completed the acquisition of a 41.73% equity stake in Colombo Dockyard PLC (CDPLC), marking a significant milestone in its overseas expansion strategy.

In a regulatory filing to the stock exchanges on Wednesday, Mazagon Dock confirmed that it has acquired 16.49 crore fully paid ordinary shares of CDPLC through the allotment of unsubscribed rights shares originally belonging to Japan-based Onomichi Dockyard Co. Ltd.

Mandatory Offer to Follow

As part of a Tripartite Agreement between Mazagon Dock, Colombo Dockyard PLC, and Onomichi Dockyard, the Indian PSU is now in the process of acquiring additional shares from existing shareholders.

The company stated that a mandatory offer will be made in accordance with Rule 31(1)(a) of Sri Lanka’s Takeovers and Mergers Code, 1995, further strengthening its control in the Sri Lankan shipbuilding firm.

Mazagon Dock added that further developments will be communicated to the stock exchanges in due course, in line with SEBI (LODR) Regulations, 2015.

Strategic Significance

Colombo Dockyard PLC is a key shipbuilding and repair facility in South Asia, and this acquisition aligns with Mazagon Dock’s long-term objective of global footprint expansion, technology collaboration, and enhanced maritime capabilities.

The move is also seen as strengthening India–Sri Lanka industrial cooperation, particularly in the strategic maritime and defence manufacturing space.
