Mahindra & Mahindra Transfers 33,104 Shares to Employees Under ESOP Scheme

New Delhi: Mahindra & Mahindra Limited has announced the transfer of 33,104 equity shares to employees through the Mahindra & Mahindra Employees’ Stock Option Trust following the exercise of stock options under the company’s Employee Stock Option Scheme (ESOS).

The disclosure was made on May 21, 2026, through a regulatory filing submitted to National Stock Exchange of India Limited and BSE Limited.

 

Shares Transferred Through ESOP Trust

According to the company, the transfer of shares was carried out by the Mahindra & Mahindra Employees’ Stock Option Trust on May 21, 2026, in compliance with the undertaking provided to stock exchanges at the time of listing of shares allotted to the trust.

The transfer was executed pursuant to the exercise of employee stock options granted under the company’s ESOP scheme.

The filing was signed by Sailesh Kumar Daga, Company Secretary of the company.

 

Senior Executives Among Key Beneficiaries

The list of stock option grantees includes several senior executives and employees across various functions within the organization.

Among the largest beneficiaries:

  • Anish Shah received 15,873 equity shares

  • Dhananjaya Rao Boita received 2,295 shares

  • Girish Gadgil received 2,034 shares

  • Ruzbeh Irani received 1,920 shares

  • Snehal Kanekar received 1,696 shares

  • Deepan Sivaraj received 1,318 shares

  • GopaKishor Gummadi received 1,250 shares

The remaining shares were distributed among 35 employees and executives as part of the company’s long-term incentive and retention framework.

Employee Stock Option Plans (ESOPs) remain a significant compensation and retention tool for large Indian corporates, especially for leadership and high-performance employees.

The latest transfer reflects Mahindra & Mahindra’s continued emphasis on employee ownership and long-term value creation through equity-linked incentives.
