Ahmedabad, November 27, 2025: Adani Power Limited (APL) has initiated a postal ballot process to secure shareholder approval for two major proposals, signaling strategic moves in both corporate finance and board governance. The remote e-voting window for shareholders is scheduled from November 29 to December 28, 2025.

 

 

1. Enhanced Related Party Transactions (RPT)

APL is seeking consent for a substantial increase in its related party transactions with Powerpulse Trading Solutions Limited (PTSL).

  • Proposal: An additional transaction limit of ₹4,500 crore.

  • Total Limit: This increase will raise the total approved RPT value with PTSL to ₹12,720 crore for the current fiscal year (FY 2025-26).

  • Nature of Transaction: The company clarified that these transactions involve the sale of power through PTSL's trading license.

  • Pricing: The power is sold at market-discovered prices, ensuring transactions are at arm's length, with margins approved by the Central Electricity Regulatory Commission (CERC).

The enhanced limit is crucial for APL's operational flexibility, allowing it to utilize its trading partner to efficiently manage and sell power in the open market.

 

2. Appointment of Independent Director

Shareholders will also vote on the appointment of a highly experienced power sector veteran to the board:

  • Appointee: Mr. Narendra Nath Misra (71 years old).

  • Position: Independent Director.

  • Term: Three-year term, effective from December 4, 2025.

  • Background: Mr. Misra is the former Director (Operations) of NTPC Limited, bringing extensive industry and regulatory knowledge to the APL board.

 

E-Voting Process Details

The postal ballot will be conducted exclusively through remote electronic voting via the CDSL platform.

  • Voting Window: November 29, 2025, to December 28, 2025.

  • Oversight: The voting process will be scrutinized by Mr. Chirag Shah.

  • Result Declaration: Results will be declared within two working days following the conclusion of the e-voting period.
