GSFC Seeks Shareholder Approval for IAS Officers Dr Rajender Kumar as MD & Ashwani Kumar as Director

Gujrat, February 20, 2026: Gujarat State Fertilizers & Chemicals Limited (GSFC) has issued a Postal Ballot notice seeking shareholder approval for the appointment of two senior IAS officers to its Board. The resolutions pertain to the appointment of Dr. Rajender Kumar, IAS as Director and Managing Director, and Mr. Ashwani Kumar, IAS as a Director of the Company.

The company has informed both BSE Limited (Scrip Code: 500690) and the National Stock Exchange of India Limited (Symbol: GSFC) about the Postal Ballot pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.

Background:

The General Administrative Department, Government of Gujarat issued an order vide reference no AIS/45.2026/0083/G dated January 2, 2026, appointing Dr. Rajender Kumar, IAS as Managing Director of the Company vice Mr. Sanjeev Kumar, IAS. Based on this order and the recommendation of the Nomination and Remuneration Committee, the Board of Directors at its meeting held on February 9, 2026, approved his appointment as an Additional Director in the capacity of Managing Director with effect from January 3, 2026.

About Dr. Rajender Kumar, IAS:

Professional Experience:

District Administration:

• Served as District Development Officer for Bharuch and Ahmedabad districts

• Served as Collector & District Magistrate of Rajkot and Surat

• Played key role in strengthening public service delivery, improving education quality and health outcomes, upgrading rural sanitation, maintaining law and order, and advancing disaster management systems

Government of India (2016-2021):

• Served as Director to the Prime Minister of India (PMO)

• Worked on strategic thinking, policy formulation and implementation of key flagship schemes including:

  • Swachh Bharat Mission

  • AMRUT Mission

  • Smart Cities Mission

  • Housing for all under PMAY

  • Mission Indra-Dhanush

  • Health for all - Ayushman Bharat & PMJAY scheme

  • National Digital Health Mission

• Closely involved in formulation of National Education Policy 2020

The Energy and Petrochemicals Department, Government of Gujarat issued an order vide reference no MIS/I5-2024/1345/E dated January 27, 2026, appointing Mr. Ashwani Kumar, IAS as Director of the Company vice Mr. S J Haider, IAS (Retd.). Based on this order and the recommendation of the Nomination and Remuneration Committee, the Board of Directors at its meeting held on February 9, 2026, approved his appointment as an Additional Director with effect from January 28, 2026.

About Mr. Ashwani Kumar, IAS:

Professional Experience:

• Over two and a half decades of experience in Public Administration and Governance

• Served in a range of important administrative roles within Gujarat Government, including key leadership positions in urban development, urban housing, and infrastructure sectors

• Served as Secretary to Hon'ble Chief Minister for over 5 years (2016 to 2021)

• Held additional responsibilities as Principal Secretary of the Ports & Transport Department

• Chaired urban development corporations, reflecting broad portfolio in state administration

• Currently appointed as Principal Secretary of the Energy and Petrochemicals Department (EPD), overseeing policy and strategic initiatives in Gujarat's energy and petrochemicals sectors

Regulatory Requirements:

Pursuant to Regulation 17(1C) of the SEBI Listing Regulations, shareholder approval for appointments to the Board must be obtained at the next general meeting or within three months from the date of appointment, whichever is earlier. Accordingly:

• For Dr. Rajender Kumar (appointed January 3, 2026): Approval required by April 2, 2026

• For Mr. Ashwani Kumar (appointed January 28, 2026): Approval required by April 27, 2026

Board Recommendation:

The Nomination and Remuneration Committee and the Board have recommended the resolutions for shareholder approval, noting that both officers bring vast knowledge and varied experience in public administration, policy formulation, strategic leadership, and governance at State, National, and International levels, which will be of significant value to the Company.

• Voting is restricted to remote e-voting only; no physical postal ballot forms are being sent
