Bajaj Finserv Allots ₹5,120 Crore Secured NCDs on Private Placement Basis

Bajaj Finserv Limited has allotted 5,12,000 secured redeemable non-convertible debentures (NCDs) aggregating to ₹5,120 crore through a private placement, the company announced on Tuesday. Each NCD carries a face value of ₹1 lakh.

Mumbai: Bajaj Finserv Limited has allotted 5,12,000 secured redeemable non-convertible debentures (NCDs) aggregating to ₹5,120 crore through a private placement, the company announced on Tuesday. Each NCD carries a face value of ₹1 lakh.

The debentures have a tenure of 10 years (3,650 days) from the date of allotment, with a coupon rate of 7.65% per annum. The interest is payable annually, with the first coupon due on January 27, 2027. The principal will be repaid in three tranches:

  • 20% on 27 January 2034

  • 20% on 25 January 2035

  • 60% on 25 January 2036

The debentures are proposed to be listed on the Wholesale Debt Market Segment of BSE Limited under ISIN INE296A07TS5.

These NCDs are secured by a first pari-passu charge on book debts/loan receivables, ensuring investor protection. The security cover is maintained at 1.10 times for the original investors, and 1 time for subsequent investors. No special rights, privileges, or delayed payment provisions are attached to these instruments.

The allotment was approved by the Debenture Allotment Committee during its meeting on 27 January 2026, which commenced at 12:15 p.m. and concluded at 12:30 p.m.

This issuance reflects Bajaj Finserv’s ongoing strategy to raise long-term funds to support its consumer finance, wealth management, and lending operations.
