NLC India 70th AGM 2026: Date, Dividend, e-Voting & RE Assets Transfer
New Delhi: NLC India Limited (NSE: NLCINDIA | BSE: 513683), a Navratna Central Public Sector Enterprise under the Ministry of Coal, has issued the formal notice for its 70th Annual General Meeting.
The AGM will be held on Tuesday, 29 September 2026 at 15:00 hours IST exclusively through Video Conferencing (VC) / Other Audio-Visual Means (OAVM).

Strategic Move: Transfer of Renewable Energy Assets
NLC India proposes to transfer 2,138.96 MW of renewable energy assets (1,783.96 MW operational + 355 MW under construction) to its wholly owned subsidiary, NLC India Renewables Limited (NIRL), under a Business Transfer Agreement.
Consideration:

₹2,419.24 crore (lump sum) for 1,430 MW

Estimated ₹1,020.36 crore for 708.96 MW (subject to auditor certification)
The transfer is structured as a slump sale and includes all related contracts, plant & equipment, permits and liabilities. The move is aimed at creating a focused renewable energy platform that can independently raise capital, participate in tenders and pursue growth opportunities. NIRL is also preparing for an IPO, after which NLC India’s stake will fall below 100%, triggering the requirement for shareholder approval under Regulation 37A of SEBI LODR.

The AGM will be conducted only through VC/OAVM. Physical attendance and proxies are not allowed.

Remote e-voting and e-voting during the AGM will be facilitated by NSDL.
