Dredging Corporation of India Announces New Independent Directors and MD & CEO Appointment
New Delhi: Dredging Corporation of India Limited (DCI) has informed the stock exchanges about key board-level appointments that will be placed before shareholders for approval through a postal ballot process. The move has been undertaken in compliance with Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.
The company stated that the Board had earlier approved the appointment of Smt. Krishna Das and Shri Devendra Kumar Pathak (IPS Retd.) as Additional Directors in the capacity of Non-Executive Independent Directors. In addition, Capt. S. Divakar has been appointed as Director (Executive) and designated as the Managing Director & Chief Executive Officer. Since the Annual General Meeting is not scheduled within the required timeframe, shareholder approval will now be sought via postal ballot through remote e-voting.
Appointment of Independent Directors
Smt. Krishna Das has been appointed as an Independent Director for a period of three consecutive years with effect from 9 March 2026. She brings over 15 years of experience in governance, welfare administration, legal education and regulatory compliance. A former Chairperson of the Assam State Social Welfare Board, she has demonstrated strong expertise in labour law, constitutional law and social inclusion initiatives.
Shri Devendra Kumar Pathak, IPS (Retd.), has been appointed as an Independent Director for a three-year term starting 18 March 2026. A distinguished former Director General of the Border Security Force, he has extensive experience in law enforcement, vigilance and public administration. His leadership includes raising the elite CRPF Anti-LWE force CoBRA and serving as Chief Vigilance Officer of Oil India Limited.
Appointment of Managing Director & CEO
The Board has recommended the appointment of Capt. S. Divakar (Mr. Divakar Sanamandra) as Managing Director & Chief Executive Officer with effect from 25 March 2026. Having joined DCI as a cadet in 1987, he has accumulated nearly four decades of experience across dredger operations and senior management roles. His career spans onboard and shore-based leadership positions, providing deep technical and commercial expertise in dredging operations.
Postal Ballot and E-Voting Details
The company will conduct the postal ballot exclusively through electronic voting. The remote e-voting process will begin on 3 May 2026 at 9:00 AM IST and conclude on 1 June 2026 at 5:00 PM IST. Shareholders eligible as of the cut-off date will be able to cast their votes electronically. The results of the postal ballot are expected to be announced on or before 3 June 2026.
Through these appointments, DCI aims to strengthen its leadership team, enhance governance standards and drive long-term strategic growth.
