Kolkata, 27 February 2026 – Andrew Yule & Co. Ltd. (AYCL) has informed the stock exchanges that it has received a notice from BSE Limited imposing a fine of ₹5,42,800 for non-compliance with Regulation 17(1) of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, for the quarter ended 31 December 2025.

The company clarified that, as a Central Public Sector Enterprise (CPSE) under the administrative control of the Ministry of Heavy Industries, the appointment of Directors on its Board falls under the purview of the President of India. AYCL has formally requested BSE to waive the imposed fines and has also approached its administrative ministry to expedite the appointment of the requisite number of Independent Directors to ensure full compliance with SEBI regulations.
