Gandhinagar, May 1, 2026: Gujarat Gas Limited (GGL), India’s largest City Gas Distribution company, has announced that the Composite Scheme of Arrangement involving GSPC Group entities has become effective from May 1, 2026.

The company informed the stock exchanges that the Scheme, earlier approved by the Ministry of Corporate Affairs (MCA) and filed on April 17, 2026, has now come into force following completion of regulatory formalities.

 

Major Corporate Restructuring Under Scheme

Under the Scheme, Gujarat State Petroleum Corporation (GSPC) and Gujarat State Petronet Limited (GSPL) have been merged into Gujarat Gas Limited. At the same time, the gas transmission business of GSPL has been demerged into a newly formed entity, GSPL Transmission Limited (GTL).

With this restructuring, Gujarat Gas is set to become an integrated energy company with expanded operations in gas trading, exploration and production, wind power generation, and city gas distribution.

The company also indicated that its name will be changed to Gujarat Energy Limited in the near future, reflecting its broader energy portfolio.

Expanded Business Portfolio

Post implementation, Gujarat Gas will also have investments in several diversified energy and infrastructure businesses, including:

  • Gas-based power generation companies (GSEG and GPPC)
  • LNG terminal operations (GSPC LNG Limited)
  • City gas distribution (Sabarmati Gas Limited)
  • IT-enabled services (Guj Info Petro Limited)

 

Creation of GSPL Transmission Limited

Following the demerger, GSPL Transmission Limited will focus on gas transmission operations with a pipeline network of around 2,800 km in Gujarat, along with investments in major cross-country pipeline projects.

The new entity is expected to operate as a pure-play gas transmission company with improved operational focus and efficiency.

Share Exchange Structure

Under the approved arrangement:

  • GSPC shareholders will receive 10 shares of GGL for every 305 shares held
  • GSPL shareholders will receive 10 shares of GGL for every 13 shares held
  • GGL shareholders will receive 1 share of GTL for every 3 shares held

The record date for allotment of shares to GSPC and GSPL shareholders has been fixed as May 12, 2026.

 

Company Statement

A company source said the scheme marks a significant milestone for Gujarat’s energy sector, enabling better integration, efficiency, and value creation. It will also support Gujarat Gas in strengthening its city gas distribution business while allowing GSPL Transmission Limited to operate as a focused transmission entity.
