Mumbai, March 5, 2026: Reliance Power Limited has announced that Reliance Chittagong Power Company Limited, Bangladesh has ceased to be its wholly owned subsidiary following a voluntary winding-up process completed on March 4, 2026.

The company disclosed the development in a regulatory filing to stock exchanges under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.

Subsidiary Voluntarily Wound Up

According to the filing, the winding up of Reliance Chittagong Power Company Limited was carried out voluntarily in Bangladesh. The parent company received the official intimation regarding the completion of the process on March 5, 2026.

As a result, the Bangladesh-based entity is no longer a wholly owned subsidiary of Reliance Power Limited.

Minimal Financial Contribution

The company clarified that the subsidiary had no revenue contribution to the consolidated financials of Reliance Power for the financial year ended March 31, 2025.

  • Revenue contribution: Nil

  • Percentage of consolidated revenue: Nil

  • Net worth contribution: Approximately ₹35 lakh

Given its limited financial impact, the closure is not expected to materially affect the overall operations or financial performance of the company.

No Sale Transaction Involved

Reliance Power further clarified that the development does not involve any sale or disposal transaction, as the subsidiary was voluntarily wound up rather than sold.

Therefore:

  • No buyer was involved

  • No transaction consideration was received

  • The move does not fall under related-party transaction provisions

Strategic Portfolio Simplification

The winding up of the Bangladesh entity appears to be part of corporate restructuring and simplification of the group’s subsidiary structure, allowing the company to focus on its core power generation and energy projects.

Reliance Power Limited, part of the Reliance Group (Anil Ambani Group), operates several power generation projects across India and continues to streamline its international footprint.
